Board considers merger by absorption of Banesto

MATERIAL FACT

Banco Santander announces that its Board of Directors, which will meet this morning, will consider the merger by absorption of Banco Español de Crédito, S.A. (the absorbed company) by Santander (the absorbing company). The market will be duly informed as soon as a decision is made.

This transaction is being realized as part of a commercial integration which will bring Banesto and Banif under the Santander brand.
