MATERIAL FACT

Banco Santander, S.A. announces that it has closed the sale of its stake in Banco de Venezuela to Bank for Economic and Social Development of Venezuela (Banco de Desarrollo Económico y Social de Venezuela), a public institution of the Bolivarian Republic of Venezuela for 1,050 million dollars, of which 630 million dollars have been paid on this date and the remainder will be payable in October an December 2009.
