                                 MATERIAL FACT


Banco Santander, S.A. hereby announces that as of 1st May next it will pay a
fourth dividend on account of the earnings for the 2007 financial year, for a
gross amount of €0.28196125 per share.


With the payment of this dividend (which, if the proposal to be submitted to the
General Meeting of Shareholders is approved, will be the final dividend), the
total dividend paid on the earnings for the 2007 financial year will be
€0.65078125 per share. This represents a 25% increase on that paid the previous
year, such percentage increase being in turn the same as that applied in 2005
and 2006.


On Friday, 2nd May, the Bank's share will trade ex-dividend.
