Disclosure of interest in shares


On 27 May 2002 Brancote Holdings PLC (the 'Company') received notification that
The AIM Trust plc sold 575,000 ordinary shares of 5p each in the Company on 24
May 2002.  Following this sale, The AIM Trust plc now has a notifiable interest
in 2,582,500 ordinary shares of 5p each in the Company, amounting to 2.95 per
cent. of the issued share capital.
