                      NOTIFICATION OF INTEREST IN SHARES


                   Brancote Holdings plc (or 'the Company')



Application has been made for the admission to trading on AIM of 275,000
ordinary shares of 5p each in the Company.  Of those 275,000 shares, 200,000
were issued in connection with the exercise of options announced on 20 April
2000.  The remaining 75,000 shares were issued in connection with the exercise
of 25,000 share options at 30p per share and 50,000 share options at 18.5p per
share on 27 June 2000.



Trading in these shares is due to commence on Wednesday 4 April 2001.
