                                 MATERIAL FACT



Banco Santander announces that, as of today, the Valores Santander have been
accepted for listing on the Electronic Fixed Income Market of the Madrid Stock
Exchange.


Banco Santander also announces that it has entered into a liquidity contract
with La Caixa, pursuant to which this entity will provide additional liquidity
to that resulting from the trading of Valores Santander in the stock exchange.
