                    Ordinary General Meeting of Shareholders

By resolution of the Board of Directors of the Bank, shareholders are hereby
called to the Ordinary General Meeting to be held at the Palacio de Festivales
(Avda. Reina Victoria, s/n) in Santander on March 10th 2001 at 11:00 a.m.,  at
second notice (in the event that owing to lack of the legally required quorum
such meeting cannot be held at first notice, likewise called at the same place
and time on the preceding day of March 9th).
