Banco Santander Central Hispano, S.A., informs that in line with the prospectus
filed with Spain's National Securities Market Commission on March 28, 2000, and
according to Portuguese regulations the launch has been announced in Portugal of
public share tenders, through its subsidiary Santusa Holding SL, for the shares
that it does not already own in Banco Totta & Acores, S.A. and Credito Predial
Portugues, S.A. At present, Banco Santander Central Hispano S.A. controls
95.55% of Banco Totta & Acores S.A. and 70.68% of Credito Predial Portugues S.A.
The offer consists of 28.20 Euros per Banco Totta & Acores S.A. share and
14.35 Euros per Credito Predial Portugues S.A. share.
The launching of the public share tenders mentioned above is subject, according
to Portuguese regulations, to its prior registration with Portugal's Securities
Market Commission.
