MATERIAL FACT

Grupo Santander hereby announces that it has sold the Edificio España building, located in Madrid, to the company Renville Invest, S.L., an affiliate of Dalian Wanda Group, for a total amount of 265 million euro.

The impact of this transaction on Grupo Santander's capital and P&L account is non-significant.
