MATERIAL FACT ANNOUNCEMENT

Banco Santander informs that the share capital increase announced on 10 November 2008, for a total amount of 7,194,653,460 euros, has been fully subscribed for in the preemptive subscription period and the additional shares allocation period. Hence, the discretionary allocation period shall not be commenced.
