Santander announces the Fixed Spread to LIBOR for the New Securities to be issued in exchange for certain of the Group's outstanding US$ Tier 1 and Upper Tier 2 Hybrids


Banco Santander, S.A. ('Santander' and together with its subsidiaries the 'Group') announces the fixed spread to LIBOR for the New Securities for the exchange offers described in the table below ('Exchange Offers'). The new Santander Lower Tier 2 security to be issued will have a fixed spread to LIBOR of 3.92% and the new Santander Tier 1 Hybrid security to be issued will have a fixed spread to LIBOR of 7.43%, as determined yesterday.

On 9 July 2009, Santander announced a capital markets transaction to improve the efficiency of the Group's capital structure and strengthen the Group's balance sheet. The transaction comprised offers to exchange Tier 1 Hybrid securities and Upper Tier 2 securities of Santander and its subsidiaries for new capital instruments (together, the 'New Securities').

 The Exchange Offers will expire, subject to any required extension of the offers, on 6 August 2009, 5:00pm New York time, unless extended or earlier terminated by the offerors.
