Exercise of Warrants, Issue of Equity and Total Voting Rights
Bango plc (AIM: BGO) ("Bango"), the global platform for data-driven commerce, announces that warrants have been exercised over 210,074 new ordinary shares of 20 pence each in Bango ("New Ordinary Shares"), with an exercise price of 180 pence per share. Proceeds of £378,133.20 have been received by Bango in respect of this warrant exercise.
These warrants were issued in connection with Bango's acquisition of Audiens SRL as announced on 24 January 2018. Following this warrant exercise there remain 528,325 warrants over Bango shares exercisable for a period of 10 years from the date of acquisition (23 January 2018).
The New Ordinary Shares will rank pari passu in all respects with Bango's existing Ordinary Shares.
Application has been made for 210,074 New Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 22 April 2021.
Total Voting Rights
Following Admission, Bango's enlarged issued share capital is expected to comprise 75,816,339 Ordinary Shares of 20 pence each, with one voting right per share ("Ordinary Shares"). Bango does not hold any Ordinary Shares in treasury and therefore the total number of Ordinary Shares with voting rights in Bango is 75,816,339.
The above figure of 75,816,339 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Bango under the FCA's Disclosure Guidance and Transparency Rules.
