Notice of Redemption and Cancellation of Listing

 

Bank of America Corporation ("Bank of America" or the "Issuer")

 

The Issuer has today given notice to the holders of the €1,500,000,000 Floating Rate Senior Notes, due August 24, 2025 (ISIN: XS2345784057; Common Code: 234578405) (the "Notes") issued under its U.S.$65,000,000,000 Euro Medium-Term Note Program that in accordance with Condition 6(c) of the Terms and Conditions of the Notes and paragraph 22 of the Final Terms dated May 20, 2021 in respect of the Notes (the "Final Terms") it will redeem all of the outstanding Notes on August 24, 2024 (the "Redemption Date"). 

 

The redemption price for the Notes will be equal to the Optional Redemption Amount of 1,000 per 1,000 Calculation Amount (as specified in the Final Terms) plus accrued and unpaid interest to, but excluding, the Redemption Date (the "Redemption Price"). As the Redemption Date is not a business day, the Redemption Price will be paid on August 27, 2024, which is the business day that is next succeeding the Redemption Date, with the same force and effect as if such amount were paid on the Redemption Date, and no interest will accrue on the amount so payable for the period from the Redemption Date to such next succeeding business day.

 

Bank of America will request the Financial Conduct Authority (the "FCA") to cancel the listing of the Notes on the Official List of the FCA and the London Stock Exchange (the "Exchange") to cancel the admission to trading on the regulated market of the Exchange as soon as practicable after the Redemption Date.
