Notice is hereby given that the Order of the High Court of Justice Chancery Division dated 3^rd April 2012 confirming the reduction of the capital of the Bank of Georgia Holdings plc. (BGH) in the aggregate sum of £299,565,638.82 and the Statement of Capital approved by the Court showing with respect to the capital of Bank of Georgia Holdings plc. as altered the several particulars required by section 649(2) of the Companies Act 2006 were registered by the Registrar of Companies on 21 March 2012.

The reduction of capital described in the Prospectus issued by BGH on 20 December 2011. The reduction of capital is a legal and accounting adjustment and is not expected to have any direct impact on the market value of the BGH Shares.
