VOTING RIGHTS AND CAPITAL INCREASE

Bank of Georgia Holdings PLC (the "Company") hereby notifies the market that, following the issue today of 3,590,937 new ordinary shares of 1 penny each pursuant to the placing of shares announced on 4 December 2014, the Company's issued share capital consists of 39,500,320 ordinary shares of 1 penny each. The Company does not hold any shares in treasury. Therefore, the total number of ordinary shares in issue each with the right to one vote is 39,500,320.

The above figure of 39,500,320 may be used by shareholders as the denominator for their calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure and Transparency Rules.
