NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329
The independent trustee of the Barclays Group (PSP &
ESOS) Employees' Benefit Trust (the 'trust') notified the
Company on 8 September 1999 that they have, on 6 and 7
September 1999 respectively, released 110,078 and 13,672
Barclays PLC ordinary shares to participants who
exercised their awards under the Performance Share Plan
('PSP'). The ordinary shares acquired by directors of
Barclays PLC and the number of ordinary shares sold on
their behalf by the trustees to meet their tax
liabilities are set out below, together with details of
the shares retained by them:

The independent trustee of the trust also notified the
Company on 8 September 1999 that they have on 6 September
1999 awarded rights, under the PSP, to directors of
Barclays PLC to acquire shares as follows:

The trust is a discretionary trust for the benefit of
employees and former employees (and, in each case, their
families) of Barclays Bank PLC and its subsidiaries.
Following these transactions, the trustee of all the
Barclays Group employees' benefit trusts hold a total of
9,157,036 shares in Barclays PLC in which the following
directors of Barclays PLC have an interest as potential
beneficiaries: Mr D Allvey, Sir Andrew Large, Mr C J
Lendrum, Sir Peter Middleton, Mr O H J Stocken, and Mr J
S Varley.
