Notification of directors' interests: Companies Act s329
The trustees of the Barclays Group (ESAS) Employees' Benefit Trust, the
trustees of the Barclays Group (PSP and ESOS) Employees' Benefit Trust and the
trustees of the Barclays PLC 1991 UK Profit Sharing Schemes (together the
'Trusts') notified the Company on 18 February 2000 that they purchased
2,230,273 ordinary shares in Barclays PLC on 18 February 2000 at a price of
1524p per share.
As part of Barclays PLC's reconciliation at the year end of its directors'
share interests, it has come to our attention that on 15 April 1999, the
trustees of the Barclays PLC 1991 UK Profit Sharing Schemes appropriated 299
ordinary shares in Barclays PLC to Sir Andrew Large at a price of 1658p per
share. Sir Andrew Large now has a beneficial interest in 799 ordinary shares
in Barclays PLC.
The Trusts are discretionary trusts for the benefit of employees, former
employees and (except for the Barclays PLC 1991 UK Profit Sharing Schemes
trust) their families, of Barclays Bank PLC and its subsidiaries. Following
these transactions, the trustees of the Trusts hold a total of 11,286,097
ordinary shares in Barclays PLC in which the following directors of Barclays
PLC had an interest as potential beneficiaries: Sir Peter Middleton, Mr M W
Barrett, Mr D P Allvey, Sir Andrew Large, Mr C J Lendrum and Mr J S Varley.
