Directors' Notification of Dealing in Shares

Barclays PLC 24 March 2000 NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329 The independent trustee of the Barclays Group (ESAS) Employees' Benefit Trust, (the 'trust') notified the company on 23 March 2000 that they had: a) on 17 March 2000 released 3,691 ordinary shares to participants in the Executive Share Award Scheme, of which 1,477 ordinary shares were sold to meet their tax liabilities. None of the shares were released to a director of Barclays PLC. b) on 23 March 2000 released 626,583 ordinary shares in Barclays PLC to participants in the Executive Share Award Scheme, of which 190,752 ordinary shares were sold on 23 March 2000 by the trustee on behalf of participants to meet their tax liabilities. The revised total share interest for each director who has retained shares released under the Executive Share Award Scheme, following these transactions, is as follows: Director Beneficial Holding Non Beneficial Holding Mr C J Lendrum 38,217 - Sir Peter Middleton 39,909 17,000 Mr J S Varley 24,813 - Following these transactions, the trustees of all the Barclays Group employees' benefit trusts hold a total of 10,649,883 shares in Barclays PLC in which the following directors of Barclays PLC have an interest as potential beneficiaries: Sir Peter Middleton, Mr M W Barrett, Mr D P Allvey, Sir Andrew Large, Mr C J Lendrum and Mr J S Varley.
