NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329
The independent trustee of the Barclays Group (PSP & ESOS) Employees' Benefit
Trust (the 'trust') notified Barclays PLC on 31 August 2000 that they had on 30
August 2000 released 6,444 ordinary shares in Barclays PLC to Mr C J Lendrum, a
participant who exercised his award under the Barclays Group Performance Share
Plan ('PSP') of which 2,578 were sold on behalf of Mr Lendrum at a price of
1713p per share to meet tax liabilities. Following this transaction, Mr Lendrum
has a beneficial interest in 42,607 shares.
The trust is a discretionary trust for the benefit of employees and former
employees (and their families) of Barclays Bank PLC and its subsidiaries.
Following this transaction, the trustees of all the Barclays Group employees'
benefit trusts hold a total of 7,570,830 shares in Barclays PLC in which the
following directors of Barclays PLC have an interest as potential beneficiaries:
Sir Peter Middleton, Mr M W Barrett, Mr D P Allvey, Sir Andrew Large, Mr C J
Lendrum and Mr J S Varley.
