Notification of Directors' Interests: Companies Act s 329
The trustees of the Group's Profit Sharing Scheme notified the Company on 18
April 2000 that a total of 3,127,360 Barclays PLC ordinary shares were
appropriated to Directors and employees of the Barclays Group on 17 April
2000.
The Directors of Barclays PLC, listed below, were each appropriated 524
Barclays PLC ordinary shares at 1524p. Following these appropriations, the
directors' total interests in shares in Barclays PLC are as follows:

Following these transactions, the trustees of all the Barclays Group
employees' benefit trusts hold a total of 7,515,037 ordinary shares in
Barclays PLC in which the following directors of Barclays PLC have an
interest as potential beneficiaries: Sir Peter Middleton, Mr M W Barrett, Mr
D P Allvey, Sir Andrew Large, Mr C J Lendrum and Mr J S Varley.
