NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329
The independent trustee of the Barclays Group (ESAS) Employees' Benefit
Trust, (the 'trust') notified the Company on 28 June 2000 that they had:
a) on 15 May 2000 released 5,093 ordinary shares in Barclays PLC to
participants in the Executive Share Award Scheme.
b) on 22 May 2000 purchased 86,431 ordinary shares in Barclays PLC at a
price of 1598p per share.
c) on 16 June 2000 purchased 122,650 ordinary shares in Barclays PLC at a
price of 1731p per share.
d) on 21 June 2000 released 6,767 ordinary shares in Barclays PLC to
participants in the Executive Share Award Scheme.
The trust is a discretionary trust for the benefit of employees and former
employees (and their families) of Barclays Bank PLC and its subsidiaries.
None of the above transactions were in respect of awards made to any
director of Barclays PLC.
The independent trustee of the Barclays Group (PSP & ESOS) Employees'
Benefit Trust (the 'trust') notified the Company on 28 June 2000 that they
had:
a) on 25 May 2000 released 4,596 ordinary shares in Barclays PLC to
participants who exercised their awards under the Barclays Group
Performance Share Plan ('PSP').
b) on 7 June 2000 released 6,718 ordinary shares in Barclays PLC to
participants who exercised their awards under the Barclays Group
Performance Share Plan ('PSP').
c) on 23 June 2000 released 5,638 ordinary shares in Barclays PLC to
participants who exercised their awards under the Barclays Group
Performance Share Plan ('PSP').
The trust is a discretionary trust for the benefit of employees and former
employees (and their families) of Barclays Bank PLC and its subsidiaries.
None of the above transactions were in respect of awards made to any
director of Barclays PLC.
Following these transactions, the trustees of all the Barclays Group
employees' benefit trusts hold a total of 7,695,306 shares in Barclays PLC in
which the following directors of Barclays PLC have an interest as potential
beneficiaries: Sir Peter Middleton, Mr M W Barrett, Mr D P Allvey, Sir Andrew
Large, Mr C J Lendrum and Mr J S Varley.
