SHARE TRANSFER DISCLOSURE
A disclosure by Barclays PLC in relation to the recommended Offer for Somerfield PLC.
On 14 October 2005 the announcement relating to the recommended cash offer by
Violet Acquisitions Limited for Somerfield PLC stated that Barclays Capital
Securities Limited held 4,513,334 Somerfield shares. 1,500,000 of these shares
(the "Borrowed Shares") were borrowed by Barclays Capital Securities Limited
prior to the commencement of the offer period in the ordinary course of
business. The Borrowed Shares were recalled by, and transferred back to, the
lender on 21 October 2005. The Panel Executive has informed Barclays PLC on an
ex parte basis that such transaction is permitted and has no Code consequences.
