Baronsmead VCT 3 plc - Voting Rights and Capital



In conformity with the Transparency Directive's transitional provision 6 the
Company would like to notify the market of the following:



Baronsmead VCT 3 plc's issued Ordinary share capital consists of 35,092,392
ordinary shares, of which 2,730,000 shares are held in Treasury.



Therefore, the total number of voting rights for Ordinary shares in Baronsmead
VCT 3 plc is 32,362,392.



Baronsmead VCT 3 plc's issued C share capital consists of 23,999,772 C shares
with voting rights.



The above figures may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Baronsmead VCT 3 plc under the
FSA's Disclosure and Transparency Rules.
