SUBJECT:     Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 30 September 2008 the Company purchased 77,151 ordinary shares of 10p at a price of 97.75p per share to be held in Treasury.

The Company's issued ordinary share capital consists of 58,226,997 with voting rights of which 4,212,151 are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 3 plc is 54,014,846.

The above figure 54,014,846 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Baronsmead VCT 3 plc under the FSA's Disclosure and Transparency Rules.
