Board Change

British Airways PLC 03 December 2004 At the Company's Annual General Meeting on July 20, 2004, it was announced that Baroness O'Cathain had decided to retire from the Board by the end of this year. Pursuant to Listing Rule 16.8, the Company is required to announce that she will retire as a director on December 31, 2004. Detta O'Cathain joined the Board of British Airways in 1993 and, in the course of her eleven years as a Board Member, has served on all of the Board's Committees. Having completed more than nine years of service as a non-executive director since her first election, however, Baroness O'Cathain can no longer be classed as independent under provision A.3.1 of the Combined Code (as revised in July last year). Paying tribute to the huge amount of time and energy she had put into her role (which had gone well beyond what could be expected of a non-executive director), the Chairman, Martin Broughton, thanked the Baroness for her enormous dedication to the Company and wished her well for the future.
