Grant of Options

CEB Resources plc (AIM: CEB) announces that on 4 February 2015, options over a total of 25,000,000 ordinary shares in the Company have been granted to directors and to a consultant to the Company (the "Options"). The Options are exercisable for a period of two years at a price of 0.175 pence per share, being today's mid-market price.

The options have been granted as follows:

Related Party Transaction:

The grant of options to Cameron Pearce and Jeremy King is a related party transaction under the AIM Rules for Companies. As they are the only directors of the Company, the Company's Nominated Adviser Sanlam Securities considers that the terms of the transaction are fair and reasonable insofar as the Company's shareholders are concerned.

Following the grant of the Options the total number of options held by directors is 26,000,000 ordinary shares which represents 11.17% of the Company's current issued share capital.
