Director shareholding

Beazley plc ("the Company") announces that on 10 May 2012,

Mr Dennis Holt purchased 50,000 ordinary shares in the Company at a price of 1.41p per share.

Consequent to that transaction, Mr Holt and his connected persons held 50,000 ordinary shares, representing approximately 0.01% of the issued share capital of the Company.

The Company further announces that on 10 May 2012, Mrs Sophie Emma Horton transferred 5,945 ordinary shares to Mr George Henry Horton, both of whom are connected persons to Mr Andrew Horton. Consequent to that transfer, Mr Horton and his connected persons continued to hold 1,268,539 ordinary shares, representing approximately 0.24% of the issued share capital of the Company.

Beazley plc was informed of both transactions on 10 May 2012.
