Grant of Share Incentives to Directors
and
Purchase of Shares by Beazley Employee Benefit Trust
The Board of Beazley Group plc announces that the following grants of share
incentives over the Company's ordinary shares of 5p were made on 21 March 2005
to the undermentioned Directors. These awards have been made under the schemes
detailed in the circular to shareholders dated 21 February 2005.
The share incentives under the current awards comprise the following schemes:
Beazley Group plc Retention Plan - ('Retention Plan')
Beazley Group plc Long Term Incentive Plan - ('LTIP')
Awards have previously been made under the Beazley Group plc Approved Share
Option Plan, the Beazley Group plc Unapproved Share Option Plan and the Beazley
Group plc Pre-IPO Plan. No further awards are anticipated to be made under
these three plans.

In all cases there was no consideration for the grant of the option.
The exercise price in respect of grants under the LTIP scheme is from 21 March
2008 to 21 March 2015.
The Board of the Beazley Group plc also announces that the Beazley Group plc
Employee Benefit Trust acquired 1,840,396 ordinary shares of 5p each in the
Company (0.5% of the issued share capital) at a cost of 88.5p per share on 21
March 2005. These shares will be used to fulfil the awards that have been made
under the Retention Plan.
