Beazley Group plc announces that the Ordinary Resolution concerning changes to
the Beazley Group plc Long Term Incentive Plan was duly passed at the Company's
Extraordinary General Meeting held today.

A copy of the Resolution has been submitted to the UK Listing Authority and will
shortly be available for inspection at the UK Listing Authority's Document
