Beazley plc - Transaction in own shares
Vesting of share incentives of Directors and other Persons Discharging Managerial Responsibilities (together, "PDMRs") and notification of transactions by PDMRs or their connected persons
Beazley plc (the "Company") announces that Mr Clive Washbourn and Mr Andrew Horton, both PDMRs, have interests in retention shares that were awarded under the Company's Retention Plan in December 2006 and October 2007, respectively. 261,025 retention shares have now vested with each of Mr Washbourn and Mr Horton and these shares were transacted as set out below.
The shares were received by each of Mr Washbourn and Mr Horton for no consideration and the average price for the disposal of each of the ordinary shares of 5 pence was 111 pence and 111.5 pence, respectively.
On 20 December 2010, Mr Washbourn transferred 127,433 shares to his spouse, Mrs Louise Ruth Washbourn. At 20 December 2010, Mr Washbourn and his connected persons were interested in 378,852 Shares, representing approximately 0.07% of the issued share capital of the Company.
On 20 December 2010, Mr Horton transferred 127,433 shares to his spouse, Mrs Sophie Horton. At 20 December 2010, Mr Horton and his connected persons were interested in 973,491 Shares, representing approximately 0.19% of the issued share capital of the Company.
Beazley plc was informed of these transactions on 20 December 2010.
