Recommended all share offer for TMT Acquisition plc ("TMT Acquisition")
Offer update - acceptances level, issue of equity and AIM Admission
On 31 October 2023, Belluscura announced a recommended all share offer for TMT Acquisition (the "Offer"). The full terms of, and conditions to, the Offer and the procedures for acceptance were set out in the offer document dated 19 January 2024 (the "Offer Document"). Terms used but not defined in this announcement have the same meaning as set out in the Offer Document.
Acceptances level
Belluscura is pleased to announce that as at 6.00 p.m. (London time) on 7 February 2024 valid acceptances of the Offer had been received in respect of 24,974,109 TMT Acquisition Shares, representing 90.81 per cent. of the issued share capital of TMT Acquisition, all of which acceptances Belluscura may count towards the satisfaction of the Acceptance Condition.
This total includes acceptances received in respect of 16,805,418 TMT Acquisition Shares, representing, in aggregate, 61.11 per cent. of the issued share capital of TMT Acquisition, which were the subject of irrevocable undertakings and a letter of intent to accept or procure acceptance of the Offer.
The total valid acceptances of the Offer received in respect of 24,974,109 TMT Acquisition Shares also includes acceptances received in respect of 1,397,837 TMT Acquisition Shares representing, 5.08 per cent. of the issued share capital of TMT Acquisition, from persons acting in concert with Belluscura for the purposes of the Offer as described in paragraph 3.1 of Appendix 3 of the Offer Document and whose acceptances have not already been included in the figures given for acceptances in the preceding paragraph received from those who gave irrevocable undertakings and the letter of intent to Belluscura to accept the Offer.
The percentage of the issued share capital of TMT Acquisition referred to in this announcement is based upon 27,500,000 TMT Acquisition Shares being in issue at the close of business on 7 February 2024 (being the latest practicable date prior to the release of this announcement).
The Offer will remain open for acceptance until further notice and 14 days' notice will be given ahead of the Offer closing.
AIM Admission
Further to the announcement on 7 February 2024 confirming that the Offer is unconditional save for admission of New Belluscura Shares to be issued pursuant to the Offer to trading on AIM ("AIM Admission"), Belluscura announces that 24,974,109 New Belluscura Shares have been allotted conditional on AIM Admission which is expected to take place tomorrow, 9 February 2024, at 8.00 a.m., whereupon the Offer will become wholly unconditional.

The interests of the Directors of Belluscura, together with the interests of persons acting in concert with Belluscura, (including the close relatives and the related trusts of any of them) in TMT Acquisition Shares as at the close of business on 7 February 2024 (being the latest practicable date prior to publication of this announcement) are as set out below:

A Dealing Disclosure by a person to whom Rule 8.3(b) applies must be made by no later than 3.30 p.m. (London time) on the Business Day following the date of the relevant dealing. If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3.
