DIRECTOR'S SHAREHOLDINGS

The company was informed yesterday that under the terms of the Bellway plc Employee Share Trust (1992) (an arrangement to reward directors and employees) 164,617 Bellway plc 12.5p ordinary shares were transferred yesterday to the following directors for a consideration of £1 per director:
John Watson - 68,944
Peter Stoker - 50,302
Alistair Leitch - 45,371

In addition, a further 25,399 shares were transferred to another employee at the same time for a consideration of £1.
Immediately thereafter, 161,148 Bellway plc 12.5p ordinary shares were sold at a price of £5.0282 per share as follows:
John Watson - 68,944
Peter Stoker - 46,833
Alistair Leitch - 45,371

Following the above transactions, the number of Bellway plc 12.5p ordinary shares which are beneficially held by each of the directors concerned is as follows:

In addition, the total number of shares held in the Bellway plc Employee Share Trust (1992) is nil.
Under the terms of the company's deferred bonus arrangements, the executive directors have a beneficial interest in 42,857 (0.04%) (99,669; 0.09%) ordinary shares held under the terms of the Trust.
Under the terms of the Bellway plc (2004) Performance Share Plan, the executive directors have a potential beneficial interest in up to 550,537 (0.47%) (651,536; 0.57%) shares held under the terms of the Trust.
In addition, each Bellway executive director has a potential further beneficial interest in up to nil (0.0%) (nil; 0.0%) shares held in the Trust.
For the Trust, a Linking Agreement is in place between the Company and the Trustees of the Trust to ensure that obligations are met as they arise.
The other interests of the directors remain unchanged.
