                     ACQUISITION OF SHARES BY DIRECTORS
                   UNDER THE BENCHMARK GROUP PLC 1996 SAYE SCHEME

Benchmark Group PLC ('the Company') hereby gives notice that two of its
Directors have acquired a total of 11,206 Ordinary shares of 50p each in the
Company ('Ordinary Shares') at 174 pence each on 2 October 2000 on exercise of
options under the Company's 1996 SAYE Scheme.

Mr N J Kempner ('Mr Kempner'), Chief Executive and Mr K C Wong ('Mr Wong'), a
Director participated in the 1st October 1997 award under Company's 1996 SAYE
Scheme.  Both Mr Kempner and Mr Wong each contributed a monthly saving of £250,
which entitles them each to subscribe for 5,603 Ordinary Shares at 174p per
share.

The 1 October 1997 award matured on 1 October 2000 and both Mr Kempner and Mr
Wong exercised their full entitlement to subscribe for 5,603 Ordinary Shares
each at 174p per share.

Following this exercise, Mr Kempner and Mr Wong are beneficially interested in
173,704 and 41,640 Ordinary Shares respectively 0.144% and 0.034% respectively
of the Company's issued share capital.
