Benchmark Group PLC ('Benchmark') announces that the option granted to Mr Nigel
Justin Kempner in April 1997 by First Captial Holdings (UK) Pte Ltd ('FCH'), a
wholly-owned subsidiary of First Capital Corporation Ltd, has, notwithstanding
the satisfaction of the performance condition thereto, been cancelled by mutual
agreement in consideration of the payment by FCH to Mr Kempner of a cash sum
of £45,879.26 being the difference between the aggregate exercise price and the
average of the closing middle market prices of Benchmark shares for the five
dealing days ended 21 September 1999 (231.1p) multiplied by the number of shares
under option. As a result of Benchmark's rights issue in June 1997 the option
related to 44,085 shares and was exercisable at a price of 127.03 per share.
Following the cancellation of the option Mr Kempner is no longer interested in
the 44,085 shares which were the subject of the option. FCH continues to own
42,069,718 ordinary shares in Benchmark (34.9 per cent. of Benchmark's issued
share capital).
