The Company makes this notification in relation to transactions notified in accordance with DR 3.1.4R(1)(a).

The Company was notified on 5^th March 2010 that, under The Berkeley Group Holdings plc 2004(b) Long-Term Incentive Plan (the "2004(b) LTIP"), 2,358,676 Ordinary Shares in the Company were released to participants of the 2004(b) LTIP on 5^th March 2010, at nil consideration in accordance with the Rules of the 2004(b) LTIP. 

The 2,358,676 Ordinary Shares in the Company were released to Directors as detailed in the table below:
