Annual Report and Accounts and Notice of Annual General Meeting

 

The Berkeley Group Holdings plc ("Berkeley" or the "Company") announces that the following documents have today been posted or otherwise made available to shareholders:

 

1.  2020 Annual Report and Accounts (the "2020 Annual Report"); and

2.  2020 Notice of Annual General Meeting (the "2020 AGM Notice").
 

In accordance with Listing Rule 9.6.1, a copy of each of the above documents together with the Form of Proxy for the 2020 Annual General Meeting have been uploaded to the National Storage Mechanism and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism .

The Company's Annual General Meeting will be held on 4 September 2020 at 11.00 am.  In accordance with recent Government legislation and related restrictions in response to COVID-19, and to minimise public health risks, the 2020 Annual General Meeting is to be held as a closed meeting and members and their proxies will not be able to attend the meeting in person.

 

Members are invited to submit questions in advance of the AGM to the Company Secretary at agm@berkeleygroup.co.uk so that any questions are received no later than 11.00 am on Tuesday 25 August 2020. The Company will publish responses to questions on its website, where appropriate, on Friday 28 August 2020 at the following location:

The Company released its preliminary announcement of annual results for the year ended 30 April 2020 ("Final Results Announcement") on 17 June 2020.  This information together with the information in the appendix to this announcement, which has been extracted from the 2020 Annual Report constitutes the materials required for the purposes of compliance with Disclosure Guidance and Transparency Rule 6.3.5(2)(b) to be communicated to media in unedited full text through a Regulatory Information Service.

Statement of Directors' Responsibilities

 

The following responsibility statement is repeated here solely for the purpose of complying with DGTR 6.3.5.  This statement relates to and is extracted from page 140 of the 2020 Annual Report and Accounts.  Responsibility is for the full 2020 Annual Report and Accounts and not the extracted information presented in this announcement and the Final Results Announcement.

 

Statement of Directors' responsibilities in respect of the Annual Report and the Financial Statements

 

The directors are responsible for preparing the Annual Report and the Group and parent Company financial statements in accordance with applicable law and regulations.

 

Company law requires the directors to prepare Group and parent Company financial statements for each financial year. Under that law they are required to prepare the Group financial statements in accordance with International Financial Reporting Standards as adopted by the European Union (IFRSs as adopted by the EU) and applicable law and have elected to prepare the parent Company financial statements in accordance with UK accounting standards, including FRS 101 Reduced Disclosure Framework.

 

Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Group and parent Company and of their profit or loss for that period. In preparing each of the Group and parent Company financial statements, the directors are required to:

 

-  select suitable accounting policies and then apply them consistently;

 

-  make judgements and estimates that are reasonable, relevant, reliable and prudent;

 

-  for the Group financial statements, state whether they have been prepared in accordance with IFRSs as adopted by the EU;

 

-  for the parent Company financial statements, state whether applicable UK accounting standards have been followed, subject to any material departures disclosed and explained in the parent company financial statements;

 

-  assess the Group and parent Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern; and

 

-  use the going concern basis of accounting unless they either intend to liquidate the Group or the parent Company or to cease operations, or have no realistic alternative but to do so.

 

The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the parent Company's transactions and disclose with reasonable accuracy at any time the financial position of the parent Company and enable them to ensure that its financial statements comply with the Companies Act 2006. They are responsible for such internal control as they determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error, and have general responsibility for taking such steps as are reasonably open to them to safeguard the assets of the Group and to prevent and detect fraud and other irregularities.

 

Under applicable law and regulations, the directors are also responsible for preparing a Strategic Report, Directors' Report, Directors' Remuneration Report and Corporate Governance Statement that complies with that law and those regulations.

 

The directors are responsible for the maintenance and integrity of the corporate and financial information included on the company's website. Legislation in the UK governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

Each of the Directors, whose names and functions are listed on pages 88 to 91 confirm that, to the best of each person's knowledge:

 

a.  the Group financial statements, which have been prepared in accordance with IFRSs as adopted by the EU, give a true and fair view of the assets, liabilities, financial position and profit of the Group;

 

b.  the Strategic Report, together with the Directors' Report, includes a fair review of the development and performance of the business and the position of the Group, together with a description of the principal risks and uncertainties that it faces, including those that would threaten its business model, future performance, solvency or liquidity; and

 

c.   the Annual Report, taken as a whole, is fair, balanced and understandable and provides the information necessary for shareholders to assess the Company's financial performance and position, business model and strategy.
