Directors Dealings and New Issue of Shares

Best of the Best announces that on 19 August 2015 it has issued 500,000 new shares to Rupert Garton, Executive Director of the Company following the exercise of options granted under the terms of the Best of the Best EMI Share Option Scheme (the "EMI Share Option Scheme"). A further 90,000 new shares have been issued to Colin Hargrave, Non-Executive Director of the Company following the exercise of options granted under the terms of the Best of the Best Unapproved Share Option Scheme (The "Unapproved Share Option Scheme").

These options were exercised at a strike price of 22.5 pence per ordinary share. After this transaction, Mr Garton holds 1,147,596 shares in Best of the Best, representing 11.8 per cent. of the issued share capital and 354,528 options over shares in Best of the Best granted under the terms of the EMI Share Option Scheme. After this transaction, Mr Hargrave holds 126,773 shares in Best of the Best, representing 1.3 per cent. of the issued share capital and 10,000 options over shares in Best of the Best granted under the terms of the Unapproved Share Option Scheme.

Following allotment of the new Ordinary Shares, the Group will have in issue 9,689,052 ordinary shares.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Best of the Best, under the Disclosure and Transparency Rules.

Transfer of shares

The Company has been notified that Michael Hindmarch has transferred 70,000 shares in the Company to William Hindmarch on 17 August 2015.  Michael Hindmarch now has an interest in 874,722 Ordinary Shares in the Company, representing 9.0 per cent of the issued share capital and William Hindmarch now has an interest in 5,086,851 Ordinary Shares, representing 52.5 per cent of the issued share capital of the Company.
