                       ('Tanzania Gold' or 'the Company')

                        Voting Rights and Share Capital

Following the recent issue of shares by Tanzania Gold and in conformity with the
Transparency Directive's transitional provision 6, the Company would like to
notify the market of the following:

- Tanzania Gold's issued share capital now consists of 24,524,345 ordinary
shares of 0.2 pence each; and

- Tanzania Gold does not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Tanzania Gold is 24,524,345.

The above figure (24,524,345) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Tanzania Gold under the
FSA's Disclosure and Transparency Rules.
