Nature of the transaction |
In each case, on 24 July 2018 the Executive Directors acquired ordinary shares in the Company following the vesting of the Company's Long Term Bonus Performance Plan. The shares have been exercised at nil cost. Following the disposal of shares by each Director to pay the associated tax and national insurance, half of the remaining shares are restricted and must be retained for a holding period during which time the Director will not be entitled to sell them. Half of the restricted shares will be restricted for one year and the other half of the restricted shares will be restricted for a further year. 1. Mr Vetch exercised an option over 95,426 shares under the Company's Long Term Bonus Performance Plan at nil pence per share. He sold 44,850 shares at an average price of 941.14 pence per share to pay the associated tax and national insurance. He sold a further 25,288 unrestricted shares, and retained 25,288 restricted shares. Following these transactions, Mr Vetch's holding has increased to 8,013,654 shares, representing 5.05% of the issued share capital of the Company. 2. Mr Gibson exercised an option over 137,841 shares under the Company's Long Term Bonus Performance Plan at nil pence per share. He sold 64,785 shares at an average price of 941.14 pence per share to pay the associated tax and national insurance. He sold a further 36,528 unrestricted shares, and retained 36,528 restricted shares. Following these transactions, Mr Gibson's holding has increased to 2,501,837 shares, representing 1.58% of the issued share capital of the Company. 3. Mr Lee exercised an option over 95,426 shares under the Company's Long Term Bonus Performance Plan at nil pence per share. He sold 44,850 shares at an average price of 941.14 pence per share to pay the associated tax and national insurance. He sold a further 25,288 unrestricted shares, and retained 25,288 restricted shares. Following these transactions, Mr Lee's holding has increased to 879,931 shares, representing 0.55% of the issued share capital of the Company. 4. Mr Trotman exercised an option over 95,426 shares under the Company's Long Term Bonus Performance Plan at nil pence per share. He sold 44,850 shares at an average price of 941.14 pence per share to pay the associated tax and national insurance. He sold a further 20,000 unrestricted shares, and retained 5,288 unrestricted shares and 25,288 restricted shares. Following these transactions, Mr Trotman's holding has increased to 210,364 shares, representing 0.13% of the issued share capital of the Company.
