TO COMPANY ANNOUNCEMENTS OFFICE


We write to advise that the company received notification on 27 November 2000
pursuant to Section 198 of the Companies Act 1985 that on 21 November 2000 PGA
Big Yellow Limited ('PGA') has transferred its interest in 14,072,952 Ordinary
Shares of 10p each in Big Yellow Group PLC ('the Company') to The Prudential
Insurance Company of America ('PRICOA').

Immediately after such transfer, PRICOA has on 21 November 2000 transferred
14,072,952 shares in Big Yellow Group Plc to another wholly owned subsidiary
undertaking of PRICOA, Big Yellow Holding Limited, a company incorporated in
Bermuda.

Accordingly the current interests are:
