DIRECTORS DECLARATIONS

Further to the announcement on 25 January 2005 that Berkeley Berry Birch plc has
appointed Michael Cleary as an Executive Director, and John Joyce as a
Non-executive Director, of the Company, the Board announces the following
information:-

Michael Cleary

Directorships of Publicly Quoted Companies

Mr Cleary has held no directorships in publicly quoted companies during the last
five years.

Other matters

Listing Rule 6F2 (d) - Mr Cleary is a director of Berry Birch & Noble Financial
Services Limited ('BBNFS') which sold its business and related assets and
liabilities to a fellow group company on 12 February 2004, and subsequently went
into liquidation on 10 March 2004.

As previously announced, the Financial Services Authority ('FSA') has informed
the Group that it is to investigate the liquidation of BBNFS and the purchase of
the BBNFS business by a fellow group company. The FSA has directed that no
payments or distributions should be made by BBNFS to a Berkeley Berry Birch
group company without the FSA's permission. The FSA has informed the Group that
the appointment of investigators does not mean that they have determined the
rule breaches and/or other contraventions have occurred. There remains no
definitive time frame for this process, though the Group continues to work
closely with the FSA. The Directors remain confident in the outcome of the
investigation.

Save as disclosed, there are no other details requiring to be disclosed under
Listing Rules 6F2 (b) to (g).

John Joyce

Directorships of Publicly Quoted Companies

Mr Joyce has held no directorships in publicly quoted companies during the last
five years. Directorships of private companies and partnerships during that
period include:
