Stanelco plc today announces the issue of 5,368,158 ordinary shares of 0.1p each
representing 0.71% of the issued capital.

These shares have been issued to Ian Balchin, Chief Executive, on the exercise
of share options at an exercise price of 2.4956p per share.

An application has been made to the London Stock Exchange and the UK Listing
Authority for these shares to be admitted to the official list.

Dealings are expected to commence on 20th February 2004.
