Extraordinary General Meeting Notice
The Company has today sent out a Notice that an Extraordinary General Meeting
will be held at the Company's offices 2-4 St George's Road, Wimbledon, London
SW19 4DP on Friday, 29 April 2005 at 11:00 am. An ordinary resolution will be
proposed at the meeting to authorise the Directors, pursuant to section 80 (a
'section 80 authority') of the Companies Act 1985 (the 'Act'), to allot ordinary
shares up to an aggregate nominal amount of £394,700.
Previously at the Company's Annual General Meeting held in 2000, section 80
authority was conferred on the Directors, to allot relevant securities within
the meaning of the Act up to an aggregate nominal amount of £500,000. That
authority expired on 25 January 2005 without having been renewed.
The Company's Board of Directors originally intended to seek shareholders'
approval to a new section 80 authority at the Company's AGM to be held later
this year. However, the Board now believe that it would be in the interests of
the Company if, before the holding of the 2005 AGM, the Directors were granted a
new section 80 authority. This would enable the Directors to grant share
options under the Company's Approved and Unapproved Share Option Schemes
following announcement of the Company's results for its year ended 31 December
2004 scheduled for tomorrow.
Copies of the circular, which is being sent to shareholders today, will be
available free of charge at the Company's offices, 2-4 St George's Road,
Wimbledon, London SW19 4DP for one month from today.
