Board Changes
Bodycote International plc is pleased to announce the appointment of Hans
Vogelsang and Laurent Bermejo as non-executive directors with effect from 2
January 2003.
Hans Vogelsang, 60, was until recently President of Technology of Basell
Polyolefins, having previously been President of Montell Polyolefins Europe for
two years. He has spent over 30 years working for Shell including roles as
Chief Executive Sweden (1992-1994) and more recently Vice President Europe and
Africa (1994-1999).
Laurent Bermejo, 43, is Chief Executive of Dalkia plc, a UK and Irish subsidiary
of Vivendi Environment. He previously held positions as Chief Executive of
Dalkia in the Czech and Slovak Republics (1995-1999) and DEKRA-Veritas
Automobile (1993-1995).
To facilitate further the objective of non-executive directors having the
majority, whilst maintaining a relatively small board, Martyn Wilton and Mike
Hallas will leave the main board on 31 December 2002. Both have taken on
greater operational responsibilities in the last year - Martyn Wilton's
activities now include heat treatment as well as HIPping and coatings in North
America, while Mike Hallas now manages the recently merged heat treatment,
HIPping and coatings operations in the UK and the Nordic region. They will both
concentrate their activities as key members of the Senior Operating Board, which
is charged with overseeing the day to day management of the business.
Dr Bernie Rickinson is becoming more involved in directing the strategy of our
HIP business. Consequently, he will not be offering himself for re-election at
the next annual general meeting.
Following these changes Bodycote's board will comprise four non-executive
directors, led by the chairman, together with the chief executive, the finance
director and the corporate development director.
James Wallace, Chairman, says;
'The wide experience of Hans Vogelsang and Laurent Bermejo in multi-national
businesses will strengthen further the group's expertise. The new board
structure will allow the directors to devote more time and focus on the key
areas of delivering shareholder value, strategy and corporate governance.'
There are no disclosures to be made under paragraph 6.F.2(b) to (g) of the
Listing Rules for either appointee.
