Holding(s) in Co-Replacement

The following replaces the Holding in Company announcement released today at 
9.42am under RNS number 8451A.


The announcement should have read that 'their interests now stand at' and not
'it had increased its material interest to', as previously stated.

FMR Corp. of Boston, Massachusetts and Fidelity International Limited of Bermuda
('Fidelity') notified the company on 5 September 2002 that their interests now
stand at a holding of 25,002,786 shares of Bodycote International plc
representing 9.75% of Bodycote's issued share capital, and that such
notification also comprised the interest of Edward C. Johnson III as a principal
shareholder of FMR Corp. and Fidelity.
