Fidelity International Limited of Bermuda ('Fidelity') notified the company
on 15 January 2002 that it held 8,910,257 shares of Bodycote International
plc representing 3.48% of Bodycote issued share capital, and that such
notification also comprised the interest of Edward C. Johnson III as a
principal shareholder of Fidelity.
