BP p.l.c. was notified on 18 March 2010 by Dr A B Hayward, a director of BP p.l.c., that on 17 March 2010 he exercised an option to acquire 275,000 BP ordinary shares (ISIN number GB0007980591) pursuant to the Executive Directors Incentive Plan at £4.22 per share.  Dr Hayward subsequently disposed of 223,288 ordinary shares acquired on 17 March 2010 at a price of £6.232 per share to cover option costs and tax liabilities; and 51,712 ordinary shares were retained.

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
