We write to notify you that following an award by the Remuneration Committee
under the Company's Executive Directors' Long Term Incentive Plan, the following
Directors of BP p.l.c. were granted options over the shares detailed below on 18
February 2002, the options being exercisable between 18 February 2003 and 17
February 2009.
• The Lord Browne of Madingley - option over 1,348,032 Ordinary shares at an
exercise price of £5.715 per share;
• Dr B.E. Grote - option over 58,173 ADSs (equivalent to approximately
349,038 Ordinary shares) at an exercise price of $48.82 per ADS;
• Mr R.L.Olver - option over 370,956 Ordinary shares at an exercise price of
£5.715 per share.
