   2002 @ £6.09 per share, through reinvestment of dividends:

                Mr R.F. Chase                      2501 shares
                Sir Robin Nicholson                  24 shares

•  we were advised today that MR R.F. Chase, a Director of BP p.l.c., acquired
   4,012 BP Ordinary shares @ £6.09 per share on 5 April 2002 through 
   reinvestment of dividends on shares held by him in the BP Employee Share 
   Ownership Plan.
