   opposite their names below on 19 September 2002 @ $44.3234 per ADS through 
   reinvestment of dividends on their registered ADS holdings:-

                                  (equivalent to approx. 294 Ordinary shares)
 
    Mr C F. Knight                122.7268 ADSs
                                  (equivalent to approx. 737 Ordinary shares)

•   We have today been advised by Lloyds TSB Registrars that the following 
    directors of BP p.l.c acquired the numbers of BP Ordinary shares shown 
    opposite their names below on 20 September 2002 @ £4.71 per share through 
    reinvestment of dividends on their registered shareholdings:-
 
    Dr J.G.S. Buchanan            117 shares
    Mr R.F. Chase                 1,473 shares
    Sir Robin Nicholson           30 shares

 
•   We have today been advised by Computershare Plan Managers that the 
    following Directors of BP p.l.c. acquired the numbers of BP Ordinary shares
    shown opposite their names below on 20 September 2002 @ £4.71 per share 
    through reinvestment of dividends on shares held by them in the BP 
    Sharematch UK Plan and BP UK Participating Share Scheme:-
 
    Mr R.F. Chase                 18 shares
    Mr R.L Olver                   6 shares

•   We were advised on 19 September 2002 by HSBC Trust Company (UK) Limited that 
    on 19 September 2002 the following Directors of BP p.l.c acquired the 
    numbers of BP Ordinary shares shown opposite their names below @ £4.66 per 
    share through reinvestment of dividends on shares held by them in PEP and 
    ISA Plans:-
